Terms of Service

1. Acceptance of Terms

By accessing or using Guided ("the Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this platform.

2. Eligibility and Account Requirements

2.1 General Users

You must be at least 13 years old to use this platform. Users between 13 and 18 must have parental or guardian consent.

2.2 Teacher Eligibility Requirements

To publish content as a teacher on Guided, you must:

  • Be certified by Yoga Alliance or hold equivalent recognized yoga teaching certification from a reputable organization. You may be required to provide proof of certification.
  • Maintain current liability insurance appropriate for teaching yoga.
  • Comply with all applicable local, state, and federal laws regarding teaching yoga and operating as an independent contractor.

We reserve the right to verify your credentials and suspend or terminate accounts that do not meet these requirements.

3. Intellectual Property and Content Ownership

3.1 Teacher Content Ownership

Teachers retain full ownership of all content they upload to the Platform, including but not limited to videos, audio recordings, class descriptions, and images. By uploading content, you represent and warrant that:

  • You own all rights to the content or have obtained all necessary permissions and licenses
  • The content does not infringe on any third-party intellectual property rights
  • You have the right to grant the licenses described in these terms
  • The content complies with all applicable laws and regulations

3.2 License to Guided

By uploading content, you grant Guided a non-exclusive, worldwide, royalty-free license to:

  • Host, store, and display your content on the Platform
  • Stream your content to subscribed users
  • Use your name, likeness, and content for platform promotion and marketing
  • Create thumbnail images and preview clips from your content

This license ends when you delete your content or close your account, except for content that has been shared or downloaded by users under the terms of their subscription. Guided may retain archived copies for legal, security, and operational purposes.

3.3 Platform Intellectual Property

The Platform itself, including its design, code, features, and branding, is owned by Guided and protected by copyright, trademark, and other intellectual property laws.

4. User Conduct and Prohibited Activities

You agree not to:

  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Violate any intellectual property rights of others
  • Impersonate another person or entity
  • Attempt to circumvent payment systems or access control measures
  • Share account credentials or allow unauthorized access to your account
  • Scrape, data mine, or use automated tools to access the Platform
  • Upload malware, viruses, or any harmful code
  • Interfere with the proper functioning of the Platform

5. Content Moderation and Removal

We reserve the right to review, moderate, and remove any content that violates these terms or is otherwise inappropriate. This includes:

  • Content that violates intellectual property rights
  • Content that contains misinformation about health or safety
  • Content that promotes harmful practices or dangerous techniques
  • Content uploaded by teachers who do not meet eligibility requirements

We may remove content or suspend accounts without prior notice if we believe there is a violation of these terms or applicable law.

6. Payment Terms and Subscriptions

6.1 Student Subscriptions

Subscription fees are charged monthly in advance. By subscribing, you authorize recurring charges until cancelled. You can cancel at any time, and you will retain access until the end of your current billing period. No refunds are provided for partial months.

6.2 Teacher Revenue Share

Teachers receive 85% of subscription revenue from students who subscribe to them. Guided retains 15% to cover platform costs including:

  • Payment processing fees (Stripe)
  • Cloud infrastructure and storage (AWS)
  • Video streaming and content delivery
  • Platform development and maintenance

When a student subscribes to multiple teachers, the subscription fee is divided proportionally among those teachers. Payouts are processed monthly via Stripe Connect.

6.3 Payment Processing

All payments are processed through Stripe. By using the Platform, you agree to Stripe's Terms of Service. Teachers must complete Stripe Connect onboarding to receive payouts.

6.4 Chargebacks

Initiating a chargeback without first contacting Guided may result in account suspension. Please contact us to resolve any billing disputes before initiating a chargeback.

7. Liability and Disclaimers

7.1 Health and Safety Disclaimer

Yoga practice involves physical activity and carries inherent risks. Before beginning any exercise program, including yoga classes on this Platform, you should consult with your physician or healthcare provider. You participate in classes at your own risk and assume full responsibility for any injuries or damages that may result from your participation.

7.2 No Medical Advice

Content on the Platform is for informational and educational purposes only and does not constitute medical advice, diagnosis, or treatment. Always seek the advice of qualified health professionals with any questions you may have regarding a medical condition.

7.3 Platform Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. We may perform maintenance, updates, or experience technical issues that temporarily limit access.

7.4 Platform Role

Guided is a technology platform and is not responsible for the instruction, advice, or conduct of teachers. We do not guarantee any specific results from use of the Platform.

7.5 Limitation of Liability

To the maximum extent permitted by law, Guided shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Indemnification

You agree to indemnify and hold harmless Guided, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you upload to the Platform

9. Account Termination

We may suspend or terminate your account at any time if:

  • You violate these Terms of Service
  • You engage in fraudulent activity
  • Your content violates intellectual property rights
  • You fail to meet teacher eligibility requirements
  • Your account has been inactive for an extended period

You may close your account at any time from your account settings. Upon termination, your access to the Platform will end, and your content may be deleted. Sections relating to intellectual property, liability, indemnification, and dispute resolution survive termination.

10. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions.

11. Independent Contractors

Teachers on the Platform are independent contractors, not employees of Guided. Teachers are responsible for their own taxes, insurance, and compliance with applicable laws. Teachers are solely responsible for determining and fulfilling tax obligations. Guided does not supervise or control how teachers create their content.

12. Force Majeure

We are not liable for failure to perform our obligations due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, wars, riots, equipment failures, or internet service disruptions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
